HUGH NICKSON

Hello.  Welcome to my website.  This is my very first foray into website design, so I hope you will forgive how basic it is.

​

For the first part of my career, I mainly had a "Big Law" practice, and many of the transactions that I worked on were measured in millions or billions of dollars.  However, we also served small and medium sized businesses.  Since I started Nickson Law, I have primarily served small and medium sized businesses, including many businesses that are just getting started.

​

In the course of my career, I have acted as legal counsel in more than $10 billion of business-to-business transactions, which were mostly mergers and acquisitions.  I have also acted as legal counsel in more than $3 billion of public and private securities offerings, including retail offerings, Qualified Institutional Buyer offerings, venture capital offerings, accredited investor (Rule 506) offerings, intrastate offerings and Rule 504 offerings.

If you are interested in my personal background, I graduated Westminster Christian High School in Gadsden, Alabama in 1983.  I went to Birmingham-Southern College for undergrad and graduated cum laude in 1987 as a Bachelor of Science in Biology.

​

Before starting law school, I worked as a bond paralegal at Haskel Slaughter and a litigation paralegal at McDaniel Hall and also at Rives & Peterson.  I entered University of Alabama School of Law in 1992, from which I graduated magna cum laude in 1995.  At law school, I was an Associate Editor of the Alabama Law Review and I was inducted as a member of the Order of the Coif.

​I started my career as an attorney in 1995 as an associate at Miller, Hamilton, Snider & Odom, L.L.C.  At Miller, Hamilton, I worked on all sorts of legal matters, including commercial litigation, civil rights litigation, commercial transactions, bankruptcy, and commercial real estate transactions.  However, my practice was principally focused on business law, corporate law, mergers & acquisitions, securities law and public and private offerings.  I became an Equity Member of Miller Hamilton in 2003.

Miller Hamilton's law practice and most of its attorneys were acquired by Jones Walker LLP in 2008.  I transferred over to Jones Walker and became a Partner at that Firm.  I basically continued the same practice that I had at Miller Hamilton.  I moved my practice and my family from Montgomery to Birmingham in 2010 and continued to work for Jones Walker in Birmingham.

I left Jones Walker in 2012 to join the legal team at  Regions Financial, where I worked until 2014.  I also worked "in-house" at  BBVA (formerly known as BBVA Compass) from 2015 to 2018.  At those companies, my work was mainly focused on SEC reporting, securities law, corporate law, and corporate governance.   I re-entered private practice in 2018.

I was fortunate enough to marry my wife, Chris, in 1996, and we now have a 20 year old daughter, Isabel, who just finished her sophomore year at Haverford College in Philadelphia, and a 19 year old son, Hugh, who just finished his freshman year at Skidmore College in upstate New York.
